Item 5.02        Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Offices

On October 15, 2010, Jeffrey M. Drazan tendered his resignation as a member of the Board of Directors of Plug Power Inc. (the “Company”). The resignation was effective October 13, 2010. Mr. Drazen has no disagreements with the Company on any matter relating to the Company’s operations, policies or practices.
