Item 7.01 | Regulation FD Disclosure. |
On November 19, 2013, AdCare Health Systems, Inc. (the “Company”) notified certain holders of its Subordinated Convertible Notes due August 29, 2014 (the “Notes”), who hold in the aggregate $3,730,000 of the outstanding principal amount of the Notes, that the Company will prepay such principal amount, and all accrued and unpaid interest thereon, on January 20, 2014, in accordance with that certain Waiver, Amendment and Forbearance, dated as of October 26, 2013, between the Company and holders of the Notes holding a majority of the then-outstanding principal amount thereof.
