Item 5.07 Submission of Matters to a Vote of Security Holders.

On June 7, 2011, Alliance Data Systems Corporation's annual meeting of stockholders was held at Delamar Greenwich Harbor at 500 Steamboat Road, Greenwich, Connecticut 06830. A total of 48,039,829 shares of the Company’s common stock were present or represented by proxy at the annual meeting, representing approximately 90.61% of the Company’s shares outstanding as of April 8, 2011, the record date set for the annual meeting. The matters voted on at the annual meeting and the results for each matter were as follows:

(a) Each of Bruce K. Anderson, Roger H. Ballou and E. Linn Draper, Jr., Ph.D. was re-elected as a Class II director of the Company to serve until the 2014 annual meeting of stockholders and until his successor is duly elected and qualified.
