Section 2 - Financial Information
Item 2.02 Results of Operations and Financial Condition.
On February 11, 2005, Veeco Instruments Inc. issued a press release (1) announcing the postponement of the release of its audited results for the fourth quarter and full year ended December 31, 2004 pending completion of an internal investigation of improper accounting transactions at its TurboDisc division, (2) providing a financial update of revenues and orders for the fourth quarter and full year ended December 31, 2004 and (3) describing the on-going internal accounting investigation. A copy of the press release is attached hereto as Exhibit 99.1.
In light of this investigation, the Company has agreed not to borrow under its $100 million revolving credit facility until further notice to its lenders. The Company has no borrowings or other obligations currently outstanding under this facility other than a $300,000 stand-by letter of credit. The Company believes that its existing cash balances, which were approximately $100 million at December 31, 2004, together with cash generated from operations are sufficient to meet its current working capital and other cash flow requirements.
