Item 8.01              Other Events.

 

On April 2, 2014, STAG Industrial, Inc. (the “Company”) announced an agreement in principle for the pricing of a $100 million private placement of senior unsecured notes consisting of $50 million with a 10 year term and $50 million with a 12 year term. Borrowings under the notes will bear interest at a fixed rate of 4.98% and are expected to be drawn this year on July 1 for the 12 year notes and on October 1 for the 10 year notes.  Issuing the notes is subject to conditions including the negotiation and execution of definitive documentation. There can be no assurances that these conditions will be satisfied or that the issuance will occur on the terms described herein, or at all.  The notes have not been and will not be registered under the Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
