Item 5.07 Submission of Matters to a Vote of Security Holders.
At the 2014 Annual Meeting held on May 14, 2014 the Companys stockholders voted on (1) the election of three Class I directors nominated by the Board of Directors to serve until the 2017 Annual Meeting of Shareholders and until their successors are elected and qualified; (2) the approval of the advisory vote on executive compensation; (3) the ratification of the selection of KPMG LLP as independent auditors for the fiscal year ending December 31, 2014 and (4) the approval of the 2010 Long-Term Incentive Plan for the purposes of Section 162(m) of the Internal Revenue Code.
