Item 1.01. Entry Into a Material Definitive Agreement.
On September 14, 2018 (the Effective Date), The Container Store, Inc. (the Borrower), a wholly-owned subsidiary of The Container Store Group, Inc. (the Company), entered into a fifth amendment (the Fifth Amendment) to the Credit Agreement, dated as of April 6, 2012, among the Borrower, the Company, as a guarantor, the other guarantors party thereto, JPMorgan Chase Bank, N.A., as administrative agent, and the lenders party thereto (as previously amended and as amended by the Fifth Amendment, the Senior Secured Term Loan Facility).
The Fifth Amendment amends the Senior Secured Term Loan Facility to, among other things, (i) extend the maturity date of the loans under the Senior Secured Term Loan Facility to September 14, 2023, (ii) decrease the applicable interest rate margin to 5.00% for LIBOR loans and 4.00% for base rate loans and, beginning from the date a compliance certificate is delivered to the administrative agent for the fiscal year ending March 30, 2019, allow the applicable interest rate margin to step down to 4.75% for LIBOR loans and 3.75% for base rate loans upon achievement of a consolidated leverage ratio equal to or less than 2.75:1.00, and (iii) impose a 1.00% premium if a voluntary prepayment is made from the proceeds of a repricing transaction within 12 months after the Effective Date.
In connection with the Fifth Amendment, the Company repaid $20.0 million of the outstanding loans under the Senior Secured Term Loan Facility, which reduces the aggregate principal amount of the Senior Secured Term Loan Facility to $272.5 million. The Company drew down a net amount of approximately $10.0 million on its revolving credit facility in connection with the closing of the Fifth Amendment.

Item 7.01. Regulation FD Disclosure.
As a result of the Fifth Amendment, for fiscal 2018, the Company expects a reduction to interest expense of approximately $2 million, or $0.03 per share, for a total interest expense of approximately $28 million, and debt extinguishment costs of approximately $2 million. On an annualized basis, the Company expects a reduction to interest expense of approximately $5.0 million or $0.07 per share. The Company expects fiscal 2018 net income per share to be $0.30 to $0.40 based on estimated common shares outstanding of 49 million. Adjusted net income per share is expected to be $0.41 to $0.51 (see reconciliation table below). Additionally, due to the recent weakening of the Swedish krona to the United States dollar and the related impact of foreign currency translation on the Companys consolidated statements of operations, the Company expects fiscal 2018 consolidated net sales to be $885 million to $895 million. All other elements of the Companys previously issued outlook for fiscal 2018 remain unchanged.

(a) Charges incurred as part of the implementation of our Optimization Plan, which include certain consulting costs recorded in selling, general, and administrative expenses, which we do not consider in our evaluation of ongoing performance.
