EXPLANATORY NOTE

This Amendment No. 2 to the SmartHeat Inc. (the “Company”) S-3 originally filed on June 24, 2009 and amended on July 23, 2009 is being filed solely to file the revised the Opinion of Holland & Hart LLP as Exhibit 5.1 herewith.  All other items and exhibits contained in the Form S-3, as amended, remain unchanged.
