Item 5.07: Submission of Matters to a Vote of Security Holders.

 

The following matters were voted upon at the Company’s annual meeting of shareholders held on August 18, 2011:

 

1. The election of three (3) directors of the Company to serve until the Company’s 2013 annual meeting of shareholders.

  There were no broker non-votes.    

 

Edward Handler, Eric Haskell, Donald Mowbray and Samuel Schwartz, who were not standing for re-election, continued to serve as Directors following the annual meeting.

 

2. The ratification of Sherb & Co., LLP, as the Company’s independent auditors for the fiscal year ending February 29, 2012. 

 

For 11,294,291: Against 17,683: Abstained 4,548.

There were no broker non-votes.
