On October 25, 2006, News Corporation (the "Company") and Nielsen Media Research ("Nielsen") announced that the parties had entered into an eight-year agreement under which Nielsen will provide audience measurement services for 49 of the Company's subsidiaries and affiliates.

A copy of the Company's press release announcing the agreement is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
