Item 1. Description of Registrants Securities to be Registered.
This registration statement relates to the common stock, $0.01 par value per share (the Common Stock), of Environmental Power Corporation (the Registrant). Each holder of record of Common Stock is entitled to one vote for each share held on all matters properly submitted to the stockholders for their vote. Cumulative voting in the election of directors is not authorized. Holders of outstanding shares of Common Stock are entitled to those dividends declared by the board of directors of the Registrant out of legally available funds, and, in the event of liquidation, dissolution or winding up of our affairs, holders are entitled to receive ratably the Registrants net assets available to the stockholders. Holders of outstanding shares of Common Stock have no preemptive, conversion or redemption rights. All of the issued and outstanding shares of Common Stock are, and all unissued Common Stock, when offered and sold will be, duly authorized, validly issued, fully paid and nonassessable. To the extent that additional shares of the Registrants Common Stock may be issued in the future, the relative interests of the then existing stockholders may be diluted.
