Item 1.02 Termination of a Material Definitive Agreement.

 

On October 13, 2005 AmSouth Bancorporation (the “Company”) issued a press release announcing that the Company has fully complied with a one-year deferred prosecution agreement with the U.S. Department of Justice and the agreement has expired.

 

A copy of the press release is filed as Exhibit 99.1 and is incorporated by reference into this report.
