Item 8.01 | OTHER EVENTS |
On May 30, 2006, InfoSpace, Inc. announced that its Board of Directors has authorized the repurchase of up to $100 million of its outstanding common stock over the next twelve months. This is in addition to the approximately $70 million or 2.6 million shares previously purchased under the prior repurchase program. Subject to applicable securities laws, the shares may be repurchased from time to time in the open market or in privately negotiated transactions. Such purchases will be at times and in amounts as the Company deems appropriate, based on factors such as market conditions, legal requirements and other corporate considerations. The Companys Board of Directors has authorized that purchases may be made under Rule 10b5-1 of the Securities Exchange Act of 1934. A Rule 10b5-1 plan allows InfoSpace to repurchase its shares during periods when the Company would normally not be active in the market due to its own internal trading blackout periods.
