Item 8.01 Other Events.

On December 4, 2006, The Bank of New York Company, Inc. (the “Company”), and Mellon Financial Corporation (“Mellon”), announced they had entered into an Agreement and Plan of Merger and reciprocal Stock Option Agreements, each dated December 3, 2006. Pursuant to the Merger Agreement, the Company and Mellon will merge into a newly organized corporation to be named “The Bank of New York Mellon Corporation.”

A copy of the joint press release of the Company and Mellon announcing the execution of the Merger Agreement is included herein as Exhibit 99.1 and is incorporated herein by reference.
