On December 29, 2006, Jessie J. Knight, Jr. resigned from the Board of Directors of Environmental Power Corporation (the “Company”), effective December 31, 2006, due to the requirements of his new position at Sempra Energy. The foregoing disclosure is made in accordance with paragraph (b) of Item 5.02 of Form 8-K.
