The Philip Morris International Inc. Annual Meeting of Stockholders will be held on May 5, 2009 at the Grand Hyatt
New York, Empire State Ballroom, 109 East 42nd Street, New York, NY 10017 at 9:00 a.m., EDT.
Proposals to be voted on at the meeting are listed below along with the Board of Directors recommendations.
The Board of Directors recommends that you vote FOR the following proposals:
|1.||Election of Directors: Harold Brown, Mathis Cabiallavetta, Louis C. Camilleri, J. Dudley Fishburn, Graham Mackay, Sergio Marchionne, Lucio A. Noto, Carlos Slim Helú, and Stephen M. Wolf.|

|3.||Approval of Eligibility, Business Criteria for Awards and Award Limits Under the PMI 2008 Performance Incentive Plan.|
