Item 8.01. Other Events.

On July 10, 2009, Philip Morris International Inc. (the “Company”) issued a press release announcing that it has entered into an agreement to purchase 100% of the shares of privately owned Colombian cigarette manufacturer, Productora Tabacalera de Colombia, Protabaco Ltda., for $452 million. The transaction is subject to competition authority approval and final confirmatory due diligence, and is expected to close within the next six months.

A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference in its entirety.
