Election of Director

On November 7, 2013, the Board of Directors of Verizon Communications Inc. (Verizon) elected Shellye Archambeau, Chief Executive Officer of Metricstream, Inc., as a director, effective December 1, 2013. As a director, Ms. Archambeau will participate in the compensation program applicable to all non-employee directors, which is described under the heading “Non-Employee Director Compensation” in Verizon’s definitive proxy statement on Schedule 14A, filed with the Securities and Exchange Commission on March 18, 2013. Ms. Archambeau has not yet been named to a Board committee.
