Item 2.06. Material Impairments.

On October 1, 2004, Anixter International Inc. (the "Company") announced a new branding name, Anixter Fasteners(SM) to its customers and vendors. The introduction of this brand name will result in Anixter recording an asset impairment charge of $1.8 million in the third quarter of 2004 to write-off the value assigned to the Pentacon name when that business was acquired by the Company.
