Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On November 15, 2005, the Board of Directors of Arbitron Inc. (the "Company") elected Ms. Shellye L. Archambeau as a member of the Board of Directors of the Company and appointed her as a member of the Board’s Technology Committee, both of which appointments were effective immediately. Ms. Archambeau has served as Chief Executive Officer of MetricStream Inc. (formerly Zaplet, Inc.), an enterprise software provider, since 2002.

A copy of the press release issued by the Company on November 15, 2005 announcing Ms. Archambeau’s nomination is attached as Exhibit 99.1 to this current report on Form 8-K.
