ITEM 5.03. AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR.

On February 14, 2018, the Board of Directors (the “Board”) of STAG Industrial, Inc. (the “Company”) amended and restated the Company’s bylaws (as amended and restated, the “Bylaws”) to implement a majority voting standard in uncontested elections of directors, retaining the plurality standard for elections in which the number of director nominees exceeds the number of directors to be elected. Pursuant to the Bylaws, in uncontested elections of directors, director nominees will be elected by the vote of a majority of the votes cast with respect to the director, which means that the number of votes cast for a director must exceed the number of votes cast against the director.
The foregoing description of the Bylaws does not purport to be complete and is qualified in its entirety by reference to the full text of the Bylaws, filed as Exhibit 3.1 to this Current Report on Form 8-K, which exhibit is incorporated by reference herein.
In connection with the adoption of the Bylaws, the Board also updated the Company’s corporate governance guidelines to require incumbent director nominees who fail to receive a majority of the votes cast to submit promptly a written offer to resign from the Board. The Nominating and Corporate Governance Committee of the Board will make a recommendation to the Board on whether to accept or reject the resignation. Taking into account the recommendation of the Nominating and Corporate Governance Committee, the Board will determine whether to accept or reject any such resignation within 90 days after the certification of the voting results, and the Company will report such decision in a Current Report on Form 8-K furnished to the Securities and Exchange Commission (“SEC”). A copy of the Company’s corporate governance guidelines is available under “Corporate Governance - Governance Documents” in the “Investor Relations” section of the Company’s website at www.stagindustrial.com.
