(1) The sales reported in this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person on May 24, 2018.
(2) The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions ranging from $51.70 to $57.30, inclusive. The reporting person undertakes to provide to BioTelemetry, Inc., any security holder of BioTelemetry, Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in footnotes 2 and 3 to this Form 4.
(3) The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions ranging from $52.55 to $55.30, inclusive.
(4) The stock options vested in four equal annual installments, which began on June 15, 2011. The options were fully exercisable as of June 15, 2014.
