Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 10, 2015, the Compensation Committee of Adams Resources & Energy, Inc. determined and approved an annual salary of $400,000 be paid to Thomas S. Smith, in his capacity as President and Chief Executive Officer of the Company effective February 24, 2015, the date he began serving in such capacity. Mr. Smith is also eligible for periodic cash bonuses determined solely at the discretion of the Compensation Committee of the Board.
