Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 14, 2017, Darling Ingredients Inc. (the “Company”) announced that Patrick C. Lynch would be departing the Company and would no longer serve as Executive Vice President - Chief Financial Officer of the Company, effective as of such date.

Additionally, on December 14, 2017, the Company appointed Brenda Snell as the Company’s Chief Accounting Officer.

Ms. Snell, who is 60 years of age, was appointed Vice President and Global Controller of the Company in September 2014. Previously, she held the positions of Vice President and Corporate Controller from January 2011 to September 2014, Corporate Controller from April 2005 to January 2011, Assistant Controller from December 1999 to April 2005 and Accounting Manager from February 1997 to December 1999.
