Entry Into A Material Definitive Agreement At the 2005 Annual Meeting of Stockholders held on April 28, 2005, the stockholders of WSFS Financial Corporation (the "Company") approved the WSFS Financial Corporation 2005 Incentive Plan (the "Incentive Plan"). A description of the material terms of the 2005 Incentive Plan was included in the Company's Definitive Proxy Statement on Schedule 14A (File No. 000-16668) as filed with the Securities and Exchange Commission on March 24, 2005. A total of 400,000 shares of the Company's common stock are reserved and available for issuance pursuant to awards granted under the Incentive Plan.
