     This Current Report on Form 8-K/A amends the presentation (the “Presentation”) furnished as Exhibit 99.1 to the Current Report on Form 8-K filed by BancorpSouth, Inc. on November 2, 2009. On page 26 of the Presentation, the Net Charge-Offs/Average Loans (%) of BancorpSouth, Inc. at September 30, 2009 should be 0.68% rather than 0.59%. All other information in the Presentation remains unchanged.
