Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of
Certain Officers; Compensatory Arrangements of Certain Officers.
(d) On November 1, 2007, the Board of Directors of Kellogg Company (the Company) elected
Donald R. Knauss as a director effective December 6, 2007. Mr. Knausss initial term expires at the
2009 annual meeting of shareowners. At this time, the Board has not determined board committee
memberships for Mr. Knauss. Mr. Knauss is the chairman and chief executive officer of The Clorox
Company.
Mr. Knausss compensation will be similar to other non-employee directors of the Company, which is
described in the Companys proxy statement filed with the SEC on March 19, 2007.
