Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On March 14, 2006, Mr. William Ham resigned from his position as a Director of the Company,
effective immediately. The resignation did not relate to any disagreement with the Company on
any matter relating to the Company's operations, policies, or practices.
