     On August 31, 2005, ScanSoft, Inc. and Nuance Communications, Inc. issued a joint press release announcing the results of the vote of their stockholders, at their respective Special Meetings, to approve the merger of Nuance with ScanSoft and related matters. A copy of the release is attached as Exhibit 99.1.
