Item 5.02		Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On August 24, 2006, James F. McAnally, M.D. notified Bally Total Fitness Holding Corporation of his resignation from the Company’s Board of Directors, effective immediately. Dr. McAnally’s resignation was not due to any disagreement with the Company.
