Item 1.01 Entry into a Material Definitive Agreement.
On October 16, 2006, Bally Total Fitness Holding Corporation (the “Company”) entered into an Amended and Restated Credit Agreement (the “Credit Agreement”) with JPMorgan Chase Bank, N.A., (“JPMorgan”), as Agent, Morgan Stanley Senior Funding, Inc., as Syndication Agent, and Canyon Capital Advisors LLC and Goldman Sachs Credit Partners L.P. (collectively, the “Lenders”). The Credit Agreement provides for (i) a tranche B term loan facility in the amount of $205,900,000, (ii) a delayed-draw term loan facility in the amount of $34,100,000, and (iii) a revolving credit facility in the amount of $44,000,000. The Company used borrowings under the Credit Agreement to refinance all outstanding indebtedness under its existing credit agreement. A copy of the Credit Agreement is filed as Exhibit 10.1 hereto and incorporated herein by reference. A copy of the press release announcing the closing of the Credit Agreement is filed as Exhibit 99.1 and incorporated herein by reference.
Item 8.01 Other Events.
On October 13, 2006, the Company entered into a sale contract with respect to four clubs. The Company expects to receive net proceeds of approximately $10.0 million from the sale of these clubs. The closing of the sale is expected to occur on October 23, 2006. The Company will enter into long-term leases with the buyer of these clubs in connection with the closing. A copy of the press release announcing the execution of the sale contract is filed as Exhibit 99.1 and incorporated herein by reference.
