Vale launches offering to sell Norsk Hydro shares

 

Rio de Janeiro, November 11, 2013 — Vale S.A. (Vale) announces an offering to sell, through a wholly-owned subsidiary, existing shares in Norsk Hydro ASA (Hydro), a company listed on the Oslo Stock Exchange and the London Stock Exchange (ticker symbol: NHY). The offering will consist of up to 224.0 million shares through a base offering of shares, plus up to 22.4 million additional shares, which will be made available by Vale pursuant to an over-allotment option.

 

The price per share and the final number of shares to be sold will be determined on the basis of an accelerated bookbuilding process which will be launched immediately following the publication of this announcement. A further announcement will be made following pricing of the transaction. Vale has agreed not to dispose of any further Hydro shares for 180 days following the completion of the offering, subject to certain customary exceptions.

 

After the offering, if all the Hydro shares available in the base offering are sold and assuming no exercise of the over-allotment option, Vale’s remaining stake, owned through a wholly-owned subsidiary, will comprise 223.8 million shares, equivalent to 10.82% of Hydro’s share capital and voting rights. If all the Hydro shares available in the base offering are sold and the over-allotment option is exercised in full, Vale’s remaining stake will comprise 201.4 million shares, equivalent to 9.74% of Hydro’s share capital and voting rights. Vale currently holds 447,834,465 Hydro shares, representing 21.64% of Hydro’s share capital and voting rights. In addition, Vale has a representative on the board of directors of Hydro.

 

In order to cover any over-allotments, Vale will grant any joint bookrunners an over-allotment option, which gives the joint bookrunners an option to call for Vale to sell up to 22.4 million additional Hydro shares beyond the number of Hydro shares sold in the base offering. The option is exercisable in whole or in part within a 30-day period following the offering.

 

The offering of Hydro shares is consistent with Vale’s strategy of reducing its exposure to non-core assets, and a result of its focus on discipline in capital allocation and value maximization for shareholders.
