(1) Silver Point Capital, L.P. ("Silver Point") is the investment manager of Silver Point Capital Fund, L.P. and Silver Point Capital Offshore Fund, Ltd. (the "Funds") and, by reason of such status, may be deemed to be the beneficial owner of all of the reported securities held by the Funds. Silver Point Capital Management, LLC ("Management") is the general partner of Silver Point and as a result may be deemed to be the beneficial owner of all securities held by the Funds. Messrs. Edward A. Mul? and Robert J. O'Shea are each members of Management and as a result may be deemed to be the beneficial owner of all of the securities held by the Funds. Silver Point, Management and Messrs. Mul? and O'Shea disclaim beneficial ownership of the reported securities held by the Funds except to the extent of their pecuniary interests.
(2) The warrants are exercisable at any time at the option of the holder. The warrants are exercisable for shares of common stock at an exercise price of $27.33 per share, or on a cashless basis under certain circumstances. The warrants have no expiration date.
(3) The shares of preferred stock are convertible at any time at the option of the holder. The shares of preferred stock are convertible into shares of common stock at an initial conversion price of $23.30574, subject to adjustment under certain circumstances. The shares of preferred stock are also convertible at the option of the issuer under certain circumstances. The shares of preferred stock have no expiration date
