Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On June 6, 2006, the Board of Directors of Perry Ellis International, Inc. (the “Company”) appointed Ms. Linda Platzner to serve on the Company’s Board of Directors in the class of directors whose term expires in 2008.
There are no arrangements or understandings between Ms. Platzner and any other person pursuant to which she was selected as a director, nor are there any transactions between Ms. Platzner and the Company that would be required to be reported pursuant to Item 404(a) of Regulation S-K as promulgated under the Securities Act of 1933, as amended.
