Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 25, 2010, Rita J. Selvaggi notified management of SolarWinds, Inc. (the “Company”) that she intends to resign as Senior Vice President of Marketing, effective January 15, 2011. Rita will continue to perform her duties as Senior Vice President of Marketing on a full-time basis through the transition period.
