DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS.

On January 19, 2005, Clover M. Drinkwater was appointed by the Board of Directors to serve as a director of the Company, to hold office for a term expiring at the Annual Meeting of Shareholders held in 2007. The board has not yet determined the committees of the Board on which Ms. Drinkwater will serve.
