Item 5.02 Departure of Directors or Principal Officers; Election of Directors;
Appointment of Principal Officers
On November 8, 2006, we learned that John F. Carlson, a Director, passed away. Mr. Carlson
was a valued member of our board, and we are deeply saddened by his death. Mr. Carlson was the
Chairman of our Compensation Committee and a member of our Audit Committee. While his counsel will
be greatly missed, the loss of Mr. Carlson will not impact our compliance with the applicable
corporate governance standards of the Nasdaq Capital Market.
