More board elections mean easier targets for Icahn

Years of efforts by labor-backed pension funds and other types of money managers have driven the majority of big American companies to have their directors elected annually, a situation that experts say keeps directors accountable, but also enables hostile takeovers by Carl Icahn and friends.
